IntelliReach is a smart platform for B2B outreach designed to help businesses find potential clients, automate and optimize email communications, improve deliverability, and analyze campaign performance. The Service includes, but is not limited to: automated lead data scraping from open sources, intelligent email campaigns, email account warm-up, reputation monitoring, and campaign analytics.

2.1. To use the Service, you must register for an account. You agree to provide accurate, complete, and current information during registration and to keep this information updated.

2.2. You are solely responsible for maintaining the confidentiality of your account credentials and for any activities that occur under your account. You agree to notify Us immediately of any unauthorized use of your account.

2.3. You may not use another person's account without their permission.

2.4. We reserve the right to refuse registration or terminate access to the Service at Our sole discretion.

4.1. The Service provides functionality for searching potential leads from open sources.

4.2. We do not guarantee the accuracy, completeness, or timeliness of data obtained through the lead search function.

4.3. You are solely responsible for verifying the legality and appropriateness of using any contact data obtained through the Service for your communication campaigns in accordance with all applicable laws (including data protection laws).

5.1. The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of FOP Mytakii Serhii Olehovych and its licensors.

5.2. You retain all ownership rights to the contact data and email content that you upload or create using the Service ('User Content'). You grant Us a non-exclusive, worldwide, royalty-free license to use, reproduce, adapt, modify, publish, and distribute your User Content solely for the purpose of providing and improving the Service for you.

6.1. Your use of the Service is also governed by Our Privacy Policy, which describes how We collect, use, and disclose your information. Please review Our Privacy Policy at https://intellireach.agency/en/privacy-policy.

7.1. Payment terms for using the Service are determined by the subscription plan you select. You agree to pay all applicable fees and taxes.

7.2. Payments are made according to the selected billing cycle (e.g., monthly, annually).

7.3. All payments are final and non-refundable, except as expressly required by law.

7.4. We reserve the right to change the prices for the Service upon prior notice to you.

8.1. You acknowledge that the Service is currently in a beta testing phase. This means the Service may contain errors ('bugs'), some features may not work correctly, may have limited functionality, or be unavailable, and temporary service interruptions may occur.

8.2. The Service is provided 'as is' and 'as available' during the beta testing period. You agree to use the Service at your own risk, acknowledging the potential shortcomings and instability.

8.3. You agree not to bring any claims against Us related to incorrect operation, errors, interruptions, or the absence of certain features of the Service during the beta testing period. Your use of the Service during this period constitutes your acceptance of these limitations.

10.1. The Service is provided on an 'AS IS' and 'AS AVAILABLE' basis. We make no warranties, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

10.2. We do not warrant that a) the Service will function uninterrupted, securely, or be available at any particular time or location; b) any errors or defects will be corrected; c) the Service is free of viruses or other harmful components; or d) the results of using the Service will meet your requirements.

10.3. No Warranty Regarding Account Blocking: You acknowledge that using email accounts for bulk or automated mailings, including 'cold' outreach and warm-up, carries the risk of temporary or permanent blocking of these accounts by email service providers (such as Google, Microsoft, etc.) according to their internal policies. We are not responsible for and provide no guarantees regarding the prevention of blocking of your email accounts connected to the Service, and we do not compensate for any losses related to such blocking.

10.4. In no event shall We, nor Our directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from a) your access to or use of or inability to access or use the Service (including during the beta testing period); b) any conduct or content of any third party on the Service; c) any content obtained from the Service; and d) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not We have been informed of the possibility of such damage.

10.5. Our aggregate liability to you for any claims arising out of or relating to the Service or these Terms, under any legal theory, shall be limited to the amount paid by you for the Service during the three (3) months prior to the event giving rise to the claim.

You agree to defend, indemnify, and hold harmless Us, Our affiliates, and their respective directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, including any data or content transmitted or received by you; b) your violation of any of these Terms, including without limitation your breach of the Acceptable Use Policy (AUP); c) your violation of any third-party right, including without limitation any right of privacy or Intellectual Property Rights; d) your violation of any applicable law, rule, or regulation; e) any claims arising from your User Content; or f) any other party's access and use of the Service with your unique username, password, or other appropriate security code.

We reserve the right, at Our sole discretion, to modify or replace these Terms at any time. If a revision is material, We will make reasonable efforts to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at Our sole discretion. By continuing to access or use Our Service after those revisions become effective, you agree to be bound by the revised terms.

These Terms shall be governed and construed in accordance with the laws of Ukraine, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

These Terms, together with the Privacy Policy and any other legal notices published by Us on the Service, shall constitute the entire agreement between Us concerning Our Service, and supersede and replace any prior agreements, oral or written, regarding the Service.
